1. Agreement to Terms

By accessing or using the GymPoint platform at gympoint.ai, including all associated web applications, APIs, and features (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

These Terms constitute a legally binding agreement between you and GymPoint LLC. If you are accepting these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Eligibility & Account Registration

2.1 Eligibility

The Service is intended solely for use by gym owners, operators, and fitness facility managers operating legitimate fitness businesses. You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service.

2.2 Account Registration

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

2.3 Authorized Users

You may grant access to staff members and authorized personnel within your organization. You are responsible for ensuring all Authorized Users comply with these Terms and for any actions taken under your account.

3. The Service

GymPoint provides a cloud-based gym management platform that includes:

• Gym Management Dashboard — member management, check-in tracking, and operational tools
• Class Scheduling & Management — schedule creation, class booking, and attendance tracking
• Member Billing & Payment Processing — automated recurring billing through PCI-compliant processors
• Pulse AI Copilot — an AI-powered assistant for gym management and insights

3.1 Pulse AI Copilot

The Pulse AI Copilot is provided as a productivity tool. You acknowledge that AI-generated outputs may contain errors, inaccuracies, or incomplete information. Pulse is not a substitute for professional business, legal, financial, or medical advice. You are solely responsible for reviewing and verifying any AI-generated recommendations.

3.2 Payment Processing

GymPoint facilitates member billing through PCI DSS-compliant third-party payment processors. GymPoint does not store, process, or transmit raw cardholder data. Payment processing is subject to the terms and policies of the applicable payment processor.

3.3 Service Modifications

GymPoint reserves the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that may negatively impact your use.

4. Free Trial

GymPoint may offer a free trial period for new customers. At the conclusion of the Free Trial, your account will automatically convert to a paid monthly subscription unless you cancel before the trial ends. GymPoint reserves the right to modify or discontinue free trial offerings without notice.

5. Subscription, Billing & Payment

5.1 Subscription Plans

Access to GymPoint is provided on a monthly subscription basis. Pricing and plan details are presented at the time of sign-up.

5.2 Auto-Renewal

Your subscription automatically renews on a monthly basis unless cancelled prior to the renewal date. We will provide advance notice of upcoming renewal charges.

5.3 Payment Obligations

You agree to pay all fees associated with your subscription plan when due. All fees are stated in U.S. dollars. You are responsible for providing and maintaining a valid payment method.

5.4 No Refunds

All subscription fees are non-refundable. There are no refunds or credits for partial months of service, plan downgrades, or unused features.

5.5 Price Changes

GymPoint may change subscription pricing at any time. We will provide at least 30 days' written notice of any price increase before it takes effect.

5.6 Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for all sales, use, GST, VAT, or other taxes imposed by any taxing authority.

6. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support at support@gympoint.ai. Cancellation takes effect at the end of your current monthly billing period.

7. Customer Responsibilities & Acceptable Use

7.1 Your Responsibilities

You are responsible for the accuracy and legality of all data you enter into the platform, obtaining necessary consents from members before processing their data, compliance with applicable laws, and ensuring parental consent for minor members.

7.2 Prohibited Uses

You agree not to use the Service to violate laws, upload malicious code, attempt unauthorized access, reverse engineer the platform, resell the Service, generate deceptive content with Pulse AI, or harvest data for unauthorized purposes.

8. Intellectual Property

8.1 GymPoint's IP

The Service, including its software, design, features, and branding, is the exclusive intellectual property of GymPoint LLC. Nothing in these Terms grants you any ownership interest.

8.2 Your Data

You retain ownership of all data you upload to the Service. By using the Service, you grant GymPoint a limited license to access, store, and process your data solely to provide and improve the Service.

8.3 Feedback

If you provide feedback or suggestions, you grant GymPoint a perpetual, irrevocable, royalty-free license to use that feedback.

9. Data Privacy & Security

Data collection and use is governed by our Privacy Policy. You acknowledge that you act as a data controller for your members' data and GymPoint acts as a data processor. You are responsible for maintaining a lawful basis for processing data.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party. This does not apply to information that is publicly available or required to be disclosed by law.

11. Suspension & Termination

11.1 Termination by You

You may cancel your account at any time.

11.2 Termination by GymPoint

GymPoint may suspend or terminate access immediately if you breach these Terms, payment is overdue, your use creates legal/regulatory risk, or required by law.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. GymPoint will retain your data for 90 days following termination, then permanently delete it unless required by law.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

GymPoint disclaims all warranties including merchantability, fitness for a particular purpose, and uninterrupted operation. We do not warrant that the Service will meet your requirements or that Pulse AI outputs will be accurate.

13. Limitation of Liability

GYMPOINT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

GymPoint's total liability for any claims shall not exceed the total fees paid by you in the three months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless GymPoint and its officers, directors, and employees from claims arising from your use of the Service in violation of these Terms, your data, your violation of law, or claims by gym members.

15. Dispute Resolution & Arbitration

15.1 Informal Resolution

Before initiating formal proceedings, you agree to contact legal@gympoint.ai and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

Any dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association in St. Tammany Parish, Louisiana, or remotely by mutual agreement.

15.3 Class Action Waiver

YOU AND GYMPOINT EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT. All disputes must be brought in your individual capacity only.

16. Governing Law

These Terms shall be governed by the laws of the State of Louisiana. The parties consent to the exclusive jurisdiction of courts located in St. Tammany Parish, Louisiana.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement and supersede all prior agreements.

17.2 Modifications

GymPoint may update these Terms. We will notify you of material changes at least 14 days before they take effect.

17.3 Severability

If any provision is unenforceable, it will be modified minimally, and remaining provisions continue in full effect.

17.4 Waiver

Failure to enforce any provision does not constitute a waiver of future enforcement.

17.5 Assignment

You may not assign or transfer your rights without GymPoint's consent. GymPoint may assign in connection with merger or acquisition.

17.6 Force Majeure

GymPoint is not liable for failures resulting from circumstances beyond reasonable control.
